Terms of service

1. Who we are and who these terms are for

SignupVet is provided by DILENS LTD, a private limited company registered in England and Wales under company number 17406070, registered office 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("we", "us"). These terms apply between us and the business that creates an account ("you").

SignupVet is for business use only. By creating an account you confirm that you act for a business, trade or profession (including as a sole trader or freelancer) and not as a consumer. If you accept these terms for a company, you confirm that you may bind it.

2. The service

SignupVet checks email addresses, phone numbers and IP addresses of signups and returns a risk score, a recommendation and reason codes via an API, a dashboard and documentation.

Scores are estimates based on signals and probabilities. They can be wrong in both directions. You remain responsible for your own decisions about your users, including any review process. Do not use a score as the only basis for a decision that has legal or similarly significant effects on a person.

3. Your account and API keys

Keep your password and API keys secret and use API keys only on your servers. You are responsible for all use of your account and keys. Tell us at once if you suspect misuse; you can revoke keys in the dashboard at any time.

4. Plans, payment and cancellation

• The current plans, included checks and prices are shown on our website and in your dashboard. Each API call counts as one check.
• Subscriptions are billed monthly in advance through Stripe and renew automatically until cancelled. You can upgrade, downgrade or cancel at any time in the billing portal. A cancellation takes effect at the end of the paid period; changes of plan are charged or credited pro rata by Stripe.
• Check packs are paid once and do not expire while your account exists. Monthly included checks are used first, then pack checks. When both are used up the API answers with status 402 until you buy more or change your plan.
• Fees already paid are non-refundable, except where required by law or where we end the service without cause (then we refund unused prepaid amounts).
• Prices are exclusive of taxes. As a business customer you are responsible for any VAT, sales or similar taxes in your country (e.g. under the reverse-charge mechanism).
• We may change prices or plans with at least 30 days' notice by email; changes apply from your next billing period. The Free plan and its limits may change at any time.

5. Acceptable use

You may use SignupVet only to protect your own products from fraud and abuse, and only in line with applicable law. In particular you must:

• have a legal basis for sending us your users' data and inform them in your privacy notice that signups are checked for fraud prevention;
• not use the service to harass, discriminate against or profile people beyond fraud prevention;
• not resell or redistribute the service or its results as a data product, scrape it, or try to reverse fingerprints or our data sets;
• not overload, probe or circumvent the limits and security of the service.

Our Acceptable use policy explains these rules in more detail. We may suspend accounts that break these rules or do not pay, after notice where reasonable.

6. Data protection

For personal data you send through the API we act as your processor under our Data Processing Addendum, which forms part of these terms. Our Privacy Policy explains how we handle your account data.

7. Availability and changes to the service

We work to keep SignupVet available and accurate but do not guarantee uninterrupted or error-free operation unless agreed in a separate written agreement (e.g. on the Scale plan). We may improve and change the service; we will not remove core functionality of a paid plan during a paid period without notice.

8. Intellectual property

We own the service, software and documentation. You may use them during your subscription for the purpose described here. Your data remains yours. Some data sets are provided by third parties under their own licences (e.g. IP geolocation by DB-IP under CC BY 4.0).

9. Liability

• Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited by law.
• Otherwise, we are not liable for loss of profit, revenue, business or data, or for any indirect or consequential loss, including losses caused by a score being wrong.
• Our total liability in any 12-month period is limited to the fees you paid us in that period.

You will compensate us for claims by third parties arising from your unlawful use of the service or your breach of section 5.

10. Term and termination

These terms apply while you have an account. You can close your account at any time by cancelling any subscription and writing to support@signupvet.com. We may end these terms with 30 days' notice, or immediately for serious breach. On termination, your access ends and we delete your data as described in the Privacy Policy and the DPA.

11. Changes to these terms

We may update these terms. We will tell you about material changes by email at least 30 days before they take effect. If you do not agree, you may cancel before then.

12. Law and courts

These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
